To use Develop Clicks services you agree to follow the following terms and conditions. This document can be changed at any time without notice by Develop Clicks, thus your continued use of Develop Clicks constitutes your consent to such changes.
Development Clicks offers the following customized services, as described on our Landing page: web design, copywriting, SEO, and website updates, Business Analysis & Marketing Strategies, digital marketing, and Marketing Automation
Developer clicks shall not be responsible for services that exceed the subscription terms as agreed by the Client at the time the service begins. Any changes to the service terms must be approved by both parties.
Develop clicks intends to provide the Client tools, methods, and resources that will enable the Client to expand and grow its business. However, we accept full responsibility for ensuring the Client delivers the best result.
In addition, the Client is responsible for understanding and ensuring the compliance with all laws and regulations that may apply to Customers, such as the data held by Client and its clients, the information provided by Client to Clients and third parties, and any safeguarding and security measures that may be required.
The client is responsible for outcomes, actions taken and results produced, even if Develop Clicks may assist in implementing system services and functions.
When you first sign up with Develop Clicks, your “Billing Cycle Date” is the date that it takes for you to acquire service.
For website: Upon completion of a website build, clients will be charged the Website Build Fee and the Support Fee, as specified in their quote, after they have completed the website build.
For all Other Services: In addition to Website Builder, the Client’s “Billing Cycle Date” is the date when they sign up for the original recurring service with Develop Clicks.
The client will be charged a one-time Setup Fee if the service has been initiated onto a website when Develop Clicks starts work on it. The client will then be charged the monthly fee for the full month starting from the next Billing Cycle.
Develop Clicks reserves the right to impose late payments of 1.5% per month on past-due balances. The owner will generate invoices for every charge. The client will make payments using an online credit card transaction.
Any copywriting, graphic design and WordPress code produced by Develop Clicks for the Client’s website subscription are copied and shall remain the exclusive property of Develop Clicks until the Client has paid in full for the Website Build Fee.
Clients may choose to take possession of all content after they have paid the Website Build Fee in full — including copywriting, graphic design, and WordPress code – to be used for their website and/or other marketing collateral at any time without infringement on Develop Clicks’s copyrights.
The client’s company can only use the content for its private purposes and is not permitted to resell, license, or otherwise disclose the content to third parties.
The Client may take possession of all content if they’ve been using our Website Management services for 12 months or more and their account is fully paid when they decide to cancel our services.
For copyrighted website material, Develop Clicks offers three options: content export, full website backup, and full website backup with managed migration.
The client agrees to avoid taking any action that may expose Develop Clicks or other Develop Clicks clients to undue risks, including but not limited to, downloading malicious software or any act primarily intended to disturb, disable, or impair Develop Clicks services. Users of a Client Company will be able to sign up for individual Client Company accounts. Each Client user is solely responsible for maintaining the protection of their user account, as well as any communications that are sent or received, services subscribed to, or payments made.
Client user accounts will be made aware of unauthorized access by any client or a client company representative as soon as practicable after learning of said access. Customers are obligated to take reasonable measures to protect the security of their user accounts, including maintaining the confidentiality of the user accounts’ passwords.
Customer agrees to the right of Develop Clicks to use the name of Client for marketing and referral purposes, as well as use its Web Site to represent customers of Develop Clicks.
Neither party may terminate this Agreement, except for non-performance if either party requires the termination in writing. Develop Clicks will process each Client’s subscription in compliance with the payment terms below, and each subsequent one (1) month billing will automatically renew. The Client will need to deliver a verbal written or email notice to Develop Clicks by the desired termination date at least thirty (30) days in advance. Failure to make payments by billing due dates gives Develop Clicks the right to terminate this Agreement immediately.
On non-payment or failure to perform by Client, this Agreement shall terminate or expire.
(i) If the Client violates the terms of the license agreement and selects other material from other sources, the license agreement will remain in effect until the User terminates his or her agreement, and (ii) All services offered by Develop Clicks to Client will terminate upon termination hereof.
Whenever a change is made in the service, Develop Clicks reserves the right to post updates on our website. We may redesign certain services to us that we believe should be provided, or we may stop accepting new signups for a service.
Some of our pricing changes typically do not affect existing customers. When this is the case, we will usually give you at least 30 days’ notice.
Develop Clicks may provide third-party services and bill third parties as part of the subscription of Develop Clicks services. The Client agrees that Develop Clicks shall monitor the usage of these services, and it may contact the Client again if the usage is excessive, so that alternate measures may be made to either lower the usage, or tamper with, or terminate the functionality of the service.
It is the responsibility of Develop Clicks to provide its services and fulfill its obligations under this Agreement promptly and professionally, using information-gathering skills that maintain high standards in the industry, and providing the standard of care which is reasonable.
In the execution of this contract, all products and services are provided at no extra charge, but Develop Clicks disclaims any implied warranties or conditions that would claim merchantability, fitness for a particular purpose, title, non-infringement, or any other warranty or condition related to the services.
Whether direct, incidental, special, or consequential damages are incurred with the use of the Website or not, Develop Clicks does not warrant the software or any products or services hereunder will be uninterrupted or error-free.
In the event of a mistake, omission, interruption, deletion of files, error, defect, delay in operation or transmission, or any failure in performance, The Company shall not be responsible.
Under no circumstances does Develop Clicks accept responsibility for losses incurred due to breaches of contract, negligence, or otherwise by a client in any way, beyond the amount of the most recent three (3) months of base fees paid under this agreement.
Furthermore, Develop Clicks and its licensees do not provide any claims regarding loss of profits or consequential, indirect, punitive, exemplary, or special damages. They are not responsible for the use of third-party hardware, software, information, or materials.
Develop Clicks is fully entrusted with the protection of all data and is not liable for accidents such as viruses, hackers, or other related risks, though Develop Clicks will take appropriate precautions regarding such risks.
The client agrees that any such amounts include defense, indemnification from any responsibilities in the event of any complaint or suit brought against Develop Clicks or its licensors for products or services associated with this Agreement.
As a result, Develop Clicks shall assume any liability under any judgment, verdict, court order, settlement brought by any third party against Client in connection with claims arising from Develop Clicks’s negligence or intentional misconduct.
In dealing with these Terms and Conditions or any other agreement related to the use of Develop Clicks services, you agree that these Terms and Conditions shall be governed and construed according to US law (without regard to conflicts of law principles).
